Terms and Conditions

These Terms and Conditions govern the services offered under the TAK TAK TAK by Schuster Design brand, particularly through the taktaktak.ch website.

2. Scope

These general terms and conditions apply to all event services offered under the TAK TAK TAK by Schuster Design brand. These services may include, but are not limited to: the design and setup of interactive areas; the provision of event activities and installations; transportation; setup and takedown; the presence of a team on-site; the operation and adaptation of the area during the event; as well as any additional services agreed upon with the client. The exact scope of each service is defined in the corresponding offer, quote, or written confirmation. These General Terms and Conditions apply unless otherwise agreed in writing. In the event of a conflict between these General Terms and Conditions and an offer, a quote, or a specific agreement concluded in writing, the individual document agreed upon in writing shall prevail.

3. Signing the Contract and Reserving the Date

A request for availability, a request submitted via the website, an exchange via email or telephone, or an offer that has not yet been confirmed do not, in and of themselves, constitute a final reservation. Unless otherwise agreed in writing, the reservation becomes final when: the customer has accepted the offer or quote in writing; and TAK TAK TAK by Schuster Design has received the reservation deposit specified in Article 7. The deposit is generally 50% of the agreed-upon price. The customer generally has 7 calendar days from the date of acceptance of the offer to make this payment. For a reservation made less than 30 days before the event, the deposit is payable within 48 hours, or before the start of the service if that occurs sooner. Prior to receipt of the deposit, TAK TAK TAK by Schuster Design may provisionally hold the date but is not obligated to reserve it permanently. TAK TAK TAK by Schuster Design may expressly waive the requirement for a deposit, particularly for businesses, public entities, municipalities, agencies, or organizations subject to internal ordering or invoicing procedures. In this case, the reservation becomes final when TAK TAK TAK by Schuster Design confirms in writing that a signed quote, a purchase order, a written confirmation, or another commitment from the client is sufficient to reserve the date. TAK TAK TAK by Schuster Design reserves the right to refuse a request, particularly for reasons of availability, security, logistics, operational feasibility, legal compliance, or protection of its business.

4. Services

TAK TAK TAK designs, sets up, and operates interactive zones for events. Depending on the agreed-upon package, the service may include, among other things: recommending a layout suited to the event; transporting equipment; setup; planned activities and installations; the presence of a TAK TAK TAK team; the day-to-day operation of the zone; welcoming and guiding participants; explaining the activities; making necessary adjustments during the event; keeping the area clean, tidy, and presentable; dismantling and returning the equipment. TAK TAK TAK activities operate 100% without electricity, screens, or generators. The specific organization of the area depends in particular on the venue, the audience, the available space, the program, access conditions, the layout of the various spaces, and weather conditions.

5. Oversight of areas and necessary staff

TAK TAK TAK services are designed based on effective operational supervision of each activity area. Each area must be reasonably supervised by a team member in order to, among other things: welcome and guide participants; explain the activities; ensure a smooth flow of traffic; ensure proper use of equipment; maintain a pleasant atmosphere; keep the area clean, tidy, and presentable; replace or restock necessary items; intervene when a problem arises; adjust the setup as needed. The number of team members included in each package corresponds to the standard setup for that package. When activities must be spread across multiple distinct spaces—whether distant from one another, visually separated, or unable to be reasonably supervised by the designated team— additional staff is required. TAK TAK TAK by Schuster Design determines the minimum number of staff needed to properly execute the agreed-upon setup. When additional staff is required due to the client’s desired layout or the characteristics of the venue, the corresponding costs are added to the service price. If the client does not wish to hire the necessary staff, TAK TAK TAK by Schuster Design has the right to reduce, consolidate, or modify the setup so that it can be operated properly with the available team. TAK TAK TAK by Schuster Design is not obligated to operate a setup that it considers to be insufficiently supervised. Operational guarantees—including those related to the proper functioning of the area, its presentation, and the handling of normal breakage—are contingent upon compliance with the setup and staffing levels determined by TAK TAK TAK by Schuster Design.

6. Operational Oversight and Participant Responsibility

The presence of the TAK TAK TAK team serves to provide operational oversight of the area and activities. It does not constitute individual care, supervision, personal monitoring, or a childcare or participant care service. Children remain the responsibility of their parents, legal guardians, teachers, educators, or other responsible adults, unless there is a written agreement expressly providing for different arrangements. The presence of a TAK TAK TAK team member in an area does not transfer to TAK TAK TAK by Schuster Design the general responsibility for supervising a child or participant.

7. Price, Scope of Service, and Standard Terms of Access

The applicable prices are those listed in the offer or quote accepted by the customer. Unless otherwise specified, a flat-rate price covers an event at a primary site, including: one-way transportation to the venue; a standard delivery and installation phase; operation of the agreed-upon setup; a standard dismantling and loading phase; and return transportation. The flat rate includes, in particular, round-trip transportation within Switzerland, installation, the on-site team, operation of the area, and dismantling, under normal conditions of access, handling, and service. No standard mileage surcharge is added solely based on the distance between the headquarters of TAK TAK TAK by Schuster Design and the event venue.

Standard Terms of Access

The flat rate assumes, in particular, that: the location is directly accessible by vehicle; the vehicle can unload in the immediate or reasonable vicinity of the installation area; free parking or parking at no exceptional cost is available within a reasonable distance of the area during the service; travel between the vehicle and the area can be done easily and without significant carrying; the route is normally passable and does not require exceptional handling; no significant stairs, additional transportation, or special equipment are required; no exceptional access procedures cause significant delays; the team can access the site at the agreed-upon time; the team has the agreed-upon time to set up the installation area; at the end of the service, dismantling, loading, and departure can be carried out under comparable conditions; the location and actual conditions correspond to the information provided by the client. The fact that an event has a single name or is organized by a single client does not mean that multiple sites, neighborhoods, buildings, floors, or geographically distinct areas automatically constitute a single site included in the price. Additional charges apply when the service requires significantly more time, personnel, transportation, handling, logistics, or third-party costs than under the conditions anticipated when the quote was prepared. This may include, in particular: multiple geographically separate sites or areas; multiple buildings; multiple floors; long carrying distances; multiple trips or repositioning of the vehicle; multiple phases of installation, relocation, or disassembly; stairs; the absence of a suitable elevator; difficult, narrow, steep, or non-vehicle-accessible access; a remote or mountainous location; a ferry; a cable car; a funicular; a shuttle; special transportation; significant parking fees; tolls; access permits or fees; traffic restrictions; specific security procedures; inspections or accreditations resulting in significant delays; mandated setup or takedown schedules; an unusual wait time; additional staff; specialized handling equipment; or any other circumstance that significantly increases the resources required for the service. When these constraints are known or reasonably foreseeable prior to the event, the additional costs are included in the quote or communicated to the client before the service is provided.

8. Incorrect information, undisclosed restrictions, and conditions discovered on site

The customer is responsible for providing complete and accurate information that may affect the service, including information regarding: access; parking; the distance between the vehicle and the area; stairs or floors; site restrictions; access hours; the various areas to be served; any security procedures; traffic restrictions; the dimensions and characteristics of the space; as well as any other known physical or logistical constraints. If a significant constraint that was not communicated in advance is discovered on site, TAK TAK TAK by Schuster Design may: adapt the setup; reduce the scope of the service; delay the installation; request additional resources or personnel; refuse to install certain parts of the setup when their installation is not reasonably possible or safe; and bill for reasonable additional costs directly resulting from the situation. The fact that the service must be reduced, delayed, or modified due to incorrect or incomplete information provided by the client does not automatically entitle the client to a price reduction.

9. Delays and Site Unavailability

The client must allow TAK TAK TAK by Schuster Design access to the venue during the agreed-upon times. If installation or dismantling is delayed for reasons attributable to the client, the venue, the client’s service providers, or the client’s organization—including, but not limited to: the venue being closed; a missing permit; a delay on the part of the site manager; unannounced security procedures; work still in progress; an unavailable space; another installation blocking access; or an inability to load or unload, the waiting time may be billed if it exceeds what can reasonably be considered normal. A delay attributable to the client or the venue may also reduce the time available for installation or operation of the area without automatically entitling the client to a reduction in the agreed-upon price. TAK TAK TAK by Schuster Design, however, makes reasonable efforts to adapt the service to the circumstances.

10. Down Payment, Billing, and Payment

The 50% deposit constitutes an advance payment toward the total price of the service. It is not in addition to the agreed-upon price. The balance is generally invoiced after the event. Unless otherwise agreed in writing, invoices are payable within 30 days of the date of issuance, without discount. When TAK TAK TAK by Schuster Design agrees to waive the deposit requirement for a client, the full amount may be invoiced after the service is rendered. In the event of late payment, TAK TAK TAK by Schuster Design may charge late payment interest as provided by applicable law, as well as reasonable costs associated with reminders and collection efforts.

11. Changes to and Postponement of the Event

A rescheduling refers to the actual transfer of the agreed-upon service to a new date, with the intention of holding the event. TAK TAK TAK by Schuster Design prefers, whenever possible, to reschedule rather than cancel permanently. The client may request up to two date changes within six months of the originally scheduled date, subject to availability on the part of TAK TAK TAK by Schuster Design. Any date change must be confirmed in writing by both parties. When a postponement is accepted: amounts already paid are carried over to the new date; the postponement is not considered a cancellation; no cancellation fees are due solely as a result of the postponement. The client remains responsible , however, for reasonable additional costs directly caused by the change, when such costs cannot be avoided or recovered. These costs may include, in particular: additional staff; additional workdays; overtime; lodging; meals; additional travel; vehicle expenses; logistics; storage; third-party service providers; preparations already completed; additional setup or takedown; or any other operational costs directly caused by the change. When the rescheduling occurs on very short notice—particularly within seven days of the event—such costs are more likely to have already been incurred. The same principles apply to significant changes to the venue, schedule, program, or setup requested after the reservation has been finalized. Once a new date has been agreed upon in writing, it becomes the new reference date for the reservation. If no new date can be agreed upon within six months or if the maximum number of postponements has been exceeded, the situation may be treated as a cancellation in accordance with Article 12.

12. Cancellation by the customer

In the event of a definitive cancellation by the client, the following amounts are due: more than 60 days before the event: 25% of the agreed-upon price;‍ ‍31 to 60 days before the event: 50%;‍ ‍8 to 30 days before the event: 75%;‍ ‍7 days or less before the event: 100%. Any amounts already paid will be applied toward the cancellation fee and will not be added to it. If the client has paid more than the amount ultimately due, the difference will be refunded after the final settlement is issued. If the amount already paid is less than the amount due, the difference will be billed to the client. Specific expenses already incurred on the client’s behalf that cannot be recovered may be billed separately only to the extent that they are not already covered by the cancellation fee or when they correspond to services or expenses expressly agreed upon separately. The intention is not to bill the same loss or cost twice.

13. Weather, Safety, and Adjusting the Service

Services may be affected by weather conditions and on-site safety conditions. TAK TAK TAK by Schuster Design makes reasonable efforts to maintain service whenever circumstances permit. Depending on the conditions, this may include: compacting the area; relocating certain activities; using available shelters; rearranging the layout; temporarily suspending certain activities; scaling back the event; or proposing an adapted layout. TAK TAK TAK by Schuster Design does not guarantee that the entire event can be held under all weather conditions. In particular, in the event of heavy rain, high winds, thunderstorms, weather alerts, hazardous terrain, or any situation posing a risk to participants, staff, or equipment, TAK TAK TAK by Schuster Design may modify, reduce, suspend, or cancel all or part of the event. Ordinary adverse weather does not automatically constitute a force majeure event. When conditions make it reasonably impossible or dangerous to carry out the service, the parties shall, where possible, prioritize a postponement in accordance with Article 11. Any additional costs directly resulting from such a postponement may be borne by the client in accordance with Article 11.

14. Force Majeure and Events Beyond the Parties’ Control

Neither party shall be held liable for any delay or failure to perform resulting from an exceptional event beyond its reasonable control and that could not reasonably have been avoided. This may include, but is not limited to: natural disasters; exceptional weather events; fires; pandemics; major transportation disruptions; decisions or prohibitions by authorities; serious civil unrest; or any other comparable unforeseeable and unavoidable event. In such circumstances, TAK TAK TAK by Schuster Design may propose, in order of preference depending on the circumstances: a modification of the service; a postponement; or, when no reasonable solution is possible, termination of the contract. Amounts already paid may be applied toward a new date or refunded, less any reasonable and non-recoverable costs incurred depending on the circumstances.

15. Customer Obligations

The client must provide, in a timely manner, all information necessary for the preparation and execution of the event. In particular, the client agrees to: provide accurate and complete information; provide a space that is sufficiently large, stable, accessible, and suitable; clearly communicate the conditions for access, parking, loading, and unloading; notify us of any stairs, floors, long carrying distances, traffic restrictions, and other access difficulties; indicate whether multiple separate areas need to be used; notify us if these areas are not visible from one another; obtain any permits that are the client’s responsibility; designate a contact person who can be reached and is authorized to make decisions; assume the personal supervision responsibilities that would normally fall to the organizer, parents, or responsible adults; ensure that participants follow the safety instructions provided. No power supply is required for TAK TAK TAK activities. The client remains responsible for administrative authorizations, event permits, venue authorizations, and other procedures related to their organization.

16. Contact Person and On-Site Decisions

The client shall designate a contact person authorized to make the necessary operational decisions during the preparation and conduct of the event. TAK TAK TAK by Schuster Design may reasonably rely on the instructions given by this person in connection with the event. Any changes requested by this person—including, but not limited to, changes to the location, schedule, allocation, or organization of the service—shall be deemed to have been requested on behalf of the client, provided that TAK TAK TAK by Schuster Design could reasonably consider this person to be authorized to make such a decision. When such changes result in significant additional costs, TAK TAK TAK by Schuster Design shall, to the extent reasonably possible, inform the client or the client’s representative before incurring such costs.

17. Use of Facilities and Safety

Activities and facilities must be used in accordance with their intended purpose and the instructions provided on site. TAK TAK TAK by Schuster Design may limit, suspend, or terminate access to certain activities, particularly in the event of: dangerous behavior; inappropriate use; failure to follow instructions; risk to participants; risk to staff; or a significant risk of damage. TAK TAK TAK by Schuster Design may also modify or remove an activity when reasonably necessary to ensure the safety or proper operation of the area.

18. Liability

TAK TAK TAK by Schuster Design is liable for damages caused intentionally or by gross negligence, as well as in all cases where liability is mandatory under applicable Swiss law. To the extent permitted by applicable law, liability for slight negligence, indirect damages, consequential damages, loss of profits, loss of revenue, or operating losses is excluded. In particular, TAK TAK TAK by Schuster Design is not liable for consequences resulting from circumstances beyond its reasonable control, including: weather conditions; decisions by authorities; decisions or restrictions imposed by the venue; incorrect or incomplete information provided by the client; access conditions that differ from those communicated; missing permits; infrastructure under the responsibility of the client or the venue; the behavior of participants or third parties; or circumstances attributable to the client, the venue, or a third party. The limitations set forth in this section do not apply where Swiss law imposes liability that cannot be contractually excluded.

19. Materials, Manufacturing, and Limits of Use

TAK TAK TAK by Schuster Design selects, maintains, and regularly inspects its activities and facilities to ensure, to the extent reasonably possible, their proper functioning and safe use. The activities and facilities are designed for normal event use in accordance with the provided instructions. TAK TAK TAK activities are designed by TAK TAK TAK and manufactured in Switzerland at its partner workshop. The components are not intended to be placed in the mouth, bitten, licked, or used in any way other than their intended function. When the event primarily involves very young children or an audience with special needs that may affect the use of the installations, the client must inform TAK TAK TAK by Schuster Design at the time of booking so that the setup can be adapted, if necessary.

20. Damage, Breakage, and Missing Parts

TAK TAK TAK by Schuster Design assumes responsibility for the ordinary consequences associated with the normal course of its activities, provided that the configuration and level of supervision specified by TAK TAK TAK are followed. Minor breakages, normal wear and tear, lost or missing parts, and accidental damage reasonably attributable to the normal course of the event will not be billed to the customer. The customer will therefore not receive an additional invoice simply because a standard part was lost, an item was accidentally broken, or normal wear and tear occurred during the event. However, this warranty does not cover, in particular: vandalism; obvious theft; intentional acts; willful destruction; use that deliberately violates instructions; obviously abusive or destructive behavior. In these exceptional circumstances, TAK TAK TAK by Schuster Design may charge reasonable costs for repair or replacement directly related to the damage in question.

21. Insurance

TAK TAK TAK by Schuster Design has professional liability insurance covering its business activities within the limits and under the terms of the applicable policy. The existence of such insurance does not constitute an admission of liability in any particular case.

22. Intellectual Property

Unless otherwise agreed, the concepts, texts, visuals, presentations, documents, proposals, and content produced or provided by TAK TAK TAK by Schuster Design remain protected under applicable law. Any reproduction, distribution, or reuse beyond the scope of normal use within the context of the business relationship requires authorization when such authorization is required by applicable law. This provision does not constitute a general authorization permitting TAK TAK TAK by Schuster Design to use the likeness of participants for commercial purposes.

23. Data Protection

The processing of personal data is governed by the privacy policy published on taktaktak.ch.

24. Communications and Written Form

Where these general terms and conditions require written confirmation or notice, an email is considered sufficient written form, unless the law or a specific agreement requires another form. Confirmations, amendments, postponements, and other important contractual decisions must be sent to the contact information provided by the parties.

25. Governing Law and Jurisdiction

These Terms and Conditions, as well as the contractual relationship between TAK TAK TAK by Schuster Design and the customer, are governed by Swiss law. Subject to any mandatory jurisdiction provisions under applicable law, the place of jurisdiction shall be the headquarters of Schuster Design, in the canton of Vaud.

26. Severability

If any provision of these Terms and Conditions is found to be null and void, invalid, or unenforceable, this shall not affect the validity of the remaining provisions. To the extent possible, the affected provision shall be replaced by a valid provision that reasonably approximates its economic and contractual purpose.

27. Authoritative Version

The French version of these terms and conditions shall prevail.

28. Changes to the Terms and Conditions

TAK TAK TAK by Schuster Design may modify these terms and conditions at any time. Unless otherwise agreed in writing, the applicable version is the one in effect at the time of the final reservation for the event.
